Nonprofit Organization

Starting a nonprofit allows you to turn your passion for a cause into real-world impact — whether you're focused on education, the arts, social services, environmental protection, or another charitable mission.

Why start a nonprofit?

A nonprofit is the right choice if your goal is to serve a public or social benefit — rather than generate profit for owners or investors.

Protections & tax benefits

Limited liability

Like corporations and LLCs, nonprofits provide limited liability protection for directors and officers.

Federal tax exemption

Once approved as a 501(c)(3), your nonprofit is exempt from federal income taxes.

Tax-deductible donations

Your donors may benefit — their contributions can be tax-deductible.

Important considerations

Nonprofits have more compliance requirements than for-profit businesses. You'll need to:

Governance

Appoint a board of directors and adopt bylaws.

Reporting

File initial and annual reports with state agencies.

Recordkeeping

Hold regular board meetings and keep formal records.

Tax-exempt status

Apply for and maintain IRS 501(c)(3) tax-exempt status.

The 3 main types of nonprofits

Nonprofit Corporation

The most common and widely recognized type — can apply for 501(c)(3) status, protects directors and officers from personal liability, and is eligible for grants and tax-deductible donations.

Nonprofit LLC

Less common and more complex — to qualify for 501(c)(3) tax exemption, all members of the LLC must themselves be 501(c)(3) nonprofits.

Unincorporated Nonprofit Association

Formed when two or more people join together for a common charitable or public purpose without creating a formal legal entity.
